14-3-630. Rights and authority of delegates.

(a)
A corporation may provide for delegates having some or all of the rights and authority of members. Any such provision must be set forth in such corporation’s articles or bylaws.#
(b)
If the corporation’s articles or bylaws provide for delegates, the articles or bylaws must set forth provisions relating to:#
1. (1)
  The characteristics, qualifications, rights, limitations, and obligations of delegates, including their selection and removal;#
2. (2)
  Calling, noticing, holding, and conducting meetings of delegates; and#
3. (3)
  Carrying on corporate activities during and between meetings of delegates.#

Amendments

The 2023 amendment, effective July 1, 2023, in subsection (a), deleted “in its articles or bylaws” following “may provide” in the first sentence and added the second sentence; and in subsection (b), substituted “If the corporation’s articles or bylaws provide for delegates, the articles or bylaws must set forth provisions relating to:” for “The articles or bylaws may set forth provisions relating to:”.
