Majority of votes constitutes act of membership. (a) Unless this chapter, the articles, or the bylaws require a greater vote or voting by class, if a quorum is present, the affirmative vote of a majority of the votes cast is the act of the members. (b) The articles or bylaws may provide for a greater voting requirement for members than is provided for by this chapter. (c) An amendment to the articles or bylaws that changes or removes a greater voting requirement shall be adopted by the same vote required to take action under the existing voting requirement prescribed in the provision being amended. ## History Code 1981, § 14-3-723, enacted by Ga. L. 1991, p. 465, § 1; Ga. L. 2023, p. 419, § 1-1/SB 148, effective July 1, 2023. ## Amendments The 2023 amendment, effective July 1, 2023, rewrote subsection (b), which read: “A bylaw amendment to increase or decrease the vote required for any member action must be approved by the members.”, and added subsection (c).
